1. INTRODUCTION

1.1 Purpose of this Agreement

This CheckD Wallet User Agreement (“Agreement”) governs your use of the CheckD Wallet and your participation in the TruSignal Network through your Wallet Account. By creating, activating or using a CheckD Wallet, you agree to be bound by this Agreement.

1.2 Parties

This Agreement is entered into between: (a) you, whether acting in your personal capacity or as an authorised representative of a legal person (the “Wallet User” or “you”); and (b) CheckD Ltd (formerly Datasywft Network Ltd) a company incorporated in England and Wales (Company No. 15059243) with registered office at 75 Ermine Way, Arrington, Royston, SG80AG, UK acting in its capacity as the Network Licensee for the CheckD Wallet made available through the CheckD application (the “Network Licensee”).

1.3 CheckD and the CheckD Wallet

The CheckD Wallet is made available to you through the CheckD application, which is operated by CheckD Ltd. The CheckD application and the CheckD Wallet are distinct service components, which may be subject to separate terms. Your use of the CheckD application and its features is governed by the applicable CheckD Terms of Service. This Agreement governs only your use of the CheckD Wallet, your Wallet Account and your participation in the TruSignal Network.

1.4 The TruSignal Network

CheckD Ltd, acting as the Network Licensee, is responsible for establishing and maintaining your Wallet Account, including the custody of your Wallet Account in accordance with the applicable custody model.

Your Wallet Account is established within the Malaysia Jurisdiction Wallet Database and is established, custodied and administered under the laws of Malaysia unless otherwise expressly notified by the Network Licensee. Unless otherwise provided in the applicable Badge Programme Rules, legally binding interactions brokered through your Wallet Account shall be governed by those laws.

The TruSignal Network is governed by TruSignal Assets Ltd, acting as the Network Owner, in accordance with the TruSignal Network Constitution and the applicable Network Standards.

The Network Owner establishes the constitutional and technical framework governing the TruSignal Network but is not a party to this Agreement.

1.5 Your Participation Through your CheckD Wallet

You may interact with other participants in the TruSignal Network, including Badge Holders, Badge Issuers, Merchants, Data Providers, Data Verifiers and other authorised participants. This Agreement governs your relationship with the Network Licensee and your participation in those interactions. Your interactions with other participants may also be governed by the applicable Badge Rules, other agreements between the relevant participants and applicable law.

1.6 Acceptance

By creating, activating or using a CheckD Wallet through the CheckD application, you acknowledge that you have read, understood and agree to be bound by this Agreement.

2. ABOUT THE CHECKD WALLET

2.1 The CheckD Wallet

The CheckD Wallet is a digital wallet that enables you to acquire, store, govern, present, validate and share data and Badge Content within the TruSignal Network. Your CheckD Wallet provides a single interface through which you may interact with Data Providers, Badge Issuers, Merchants, Data Verifiers and other Wallet Users.
